#DXVGratitude Contest

It is that wonderful time of the year, the time when families and friends come together to celebrate the Season and also to reflect upon the past year. Since our launch in the spring of this year and in the months prior as we worked with our DXV Design Panel, the talented product designers and many others without whom DXV would have not been possible, we have been humbled by the outpouring of support and accolades from our design communities and we feel deeply grateful to be a part of this amazing industry. 

As our thank you, we want to invite you to join our #DXVGratitude Instagram Contest, a fun and hopefully inspiring contest that will run all Thanksgiving Week from November 24 through November 30, 2014 with daily prize drawings and a grand prize that will be announced on December 1. Please find all the details below and we look forward to seeing your and your #DXVGratitude submissions on Instagram. Good luck and Happy Holidays!

The Prizes: 
  1. Daily drawing for a DXV Branded Bluetooth Speaker

Here's what you do: 
  1. Post one or more  images of the things, persons or events you are most grateful for on Instagram from November 24 through November 30, 2014 
  2. Tag each image with #DXVGratitude #Contest
  3. Mention @DXV and @modenus in each post
  4. Share with your friends and followers across social media platforms.

Then what? 
  1. DXV will draw one winner of a DXV branded bluetooth speaker at random every day from November 24 through November 30, 2014
  2. Winners will be notified the day following the win except on the holiday weekend, winners for those days will notified on December 1, 2014
  3. The single image with the most "likes" of all submitted images by November 30, 2014 11:59:59 pm ET will win the iPad 2. Winner will be announced December 1, 2014 by 5pm ET.

#DXVGratitude Instagram Contest

Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING.

Eligibility: The #DXVGratitude Contest (“Contest”) is open to legal residents of the (50) United States, the District of Columbia and Canada (excluding Quebec) 18 years of age or older.

Individuals who are employees, officers & directors of AS America, Inc., d/b/a American Standard Brands (“Sponsor”) & its parent, subsidiaries, affiliates, agents, representatives, retailers, distributors, advertising & promotion agencies (collectively, the “Released Parties”) &  their immediate families (parents, spouses, children or siblings & their respective spouses, regardless of where they reside) & household members, whether or not related, are not eligible.

Void in Quebec and where prohibited. This Contest is subject to all applicable federal, state, provincial, and local laws.

How To Enter:  Visit the DXV Decade 15 Blog at http://www.dxv.com/inspiration/decade-15-magazine

between 12:00:01 a.m. Eastern Time (“ET”) on 11/24/2014 and 11:59:59 p.m. ET on 11/30/14 (“Contest Period”) to see the complete instructions to send your entry(ies) via the Instagram app. Each entry you create must include one (1) photograph of a person, thing or event that you are most grateful for ("Photo") and a short nomination caption, in English not to exceed 50 words, (“Caption”), describing what you are grateful for.

IMPORTANT:  Instagram entry Captions must include the hashtags “#DXVGratitude#Contest” and tag DXV and Modenus at “@DXVLuxury @Modenus”.  Failure to include this information will result in your entry not being included in the Contest.

Both the Caption and Photo will be collectively referred to herein as the “Entry” and the individual making the submission as the “Entrant” or "you".  Posting via Instagram as described above is the only accepted method to submit an Entry.   Any other form will be rejected.   Sponsor’s database computer is the official timekeeping device for the Contest.  Proof of submission is not proof of receipt. 


Entry Requirements:
   All Entries must: 1) Be the original creation of the Entrant; 2) Not have won any type of previous recognition awards (regardless of compensation); 3) Not have been previously published or produced in any fashion (regardless of compensation); 4) Not infringe on any third-party rights; 5) Be suitable for publication as determined at the sole and absolute discretion of the Sponsor; 6) Not include, obscenity, profanity, racist themes or material that is sexually oriented or comments regarding sexual orientation, explicit, suggestive or exploits people in a sexual or violent manner; 7) Not contain other brands’ name, labels or logos.  Each Entrant represents and warrants that he/she has obtained permission from any and all recognizable persons other than the entrant depicted in a submitted photo and agrees, upon request, to furnish written proof of such permission.  Any Entry deemed inappropriate for any reason, as determined at the sole and absolute discretion of the Sponsor, will not be considered. Modification of an existing work does not qualify as original. In order to be entered into the Contest, Entrant must comply with the Entry instructions and each Entry submitted must meet the eligibility criteria outlined above. Once submitted, an Entry cannot be modified.

Entrants can submit more than one entry.  Entries will not be acknowledged or returned. Enter as often as you wish, but each Entry must be distinctly different and unique. The name of the “authorized account holder” associated with any given email address (including the email address associated with an Instagram account from which an Entry is posted) will be deemed to be the submitter of any Entry and must comply with these Official Rules.  The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses.  

Usage Rights in Entries:  Sponsor and its designees shall have the unrestricted and non-exclusive right to edit, adapt, publish, copy, display, perform, broadcast, modify, and otherwise use any or all entry materials, alone or in combination with other material in any and all media, whether now known or later discovered, in perpetuity, without restriction of any kind whatsoever, without further compensation to the entrant or anyone else.  Sponsor reserves the right to review any such Entry prior to any posting, to remove any Entry at any time after posting, and to remove any incidental material that could be deemed infringing where doing so would not materially alter the Entry and where the entrant otherwise clearly intended to comply with these Official Rules, as determined by Sponsor.  Potential winners may be required to assign all rights in entry to Sponsor without additional compensation.  Entries will become visible to the public via the Instagram platform and are subject to the usage terms of that platform. Entries will be deemed posted at the direction of the Entrant within the meaning of the Digital Millennium Copyright Act and the Communications Decency Act.


Winner Selection and Voting

Selection of Daily Winners:

A series of seven (7) separate daily drawings will be held, one for each day of the Contest Period. A "day" is defined by ET. The drawing for each day will be from among all entries received as of 11:59:59 p.m. ET and will be conducted following the close of that day. All valid non-winning entries in each daily drawing remain eligible for any subsequent drawing(s).

Selection of Grand Prize Winner: 

One grand prize winner will be selected, on or about November 28, 2014, based on the entry that has received the most "likes" on Instagram during the Contest Period. Limit one (1) "like" per Instagram account per entry. Paying for likes, the use of script, macro or any device to automate liking, or engaging in any other conduct deemed inappropriate, disruptive or unsportsmanlike as determined by Sponsor in its discretion, is prohibited, and any entries or likes received through such means will be void. Any attempt by any participant to submit or solicit more than the stated number of likes by using multiple/different email addresses, Instagram IDs, identities or any other method will void that person’s likes and entry (if any), and he/she may be disqualified from further participation in the Contest.

Winner Notification:   Each potential winner will be contacted within one business day after winner determination, using contact information furnished via Instagram messaging.   Potential winners must respond to the notification within five (5) days with all requested information to confirm eligibility and to arrange for delivery of prize.  Potential winners may be required to execute and return an affidavit of eligibility, release of liability, and except where prohibited, publicity release within five (5) days of notification. Noncompliance with this time period may result in disqualification and award of prize to an alternate winner.   If a potential winner cannot be reached, is found to be ineligible, cannot or does not comply with these Official Rules, or if any prize or prize notification is returned as undeliverable, that potential winner will be disqualified and prize may be awarded to an alternate winner.  If any eligible winner is deemed a minor under the laws of his or her state or province of residence, any necessary prize claim documents must be signed by a parent or legal guardian.

Prizes: 

Daily Prizes:  Seven (7) daily prizes are available, one (1) for each daily drawing: a DXV-Branded Portable Bluetooth Speaker (ARV  $32).

Grand Prize:  One (1) grand prize is available: a 64GB iPad Air 2 (ARV $600).

Prize Conditions:   All taxes and other expenses, costs or fees associated with the acceptance and/or use of the prize are the responsibility of the winner. Prize cannot be transferred by winner or redeemed for cash.  Sponsor reserves the right to substitute prizes for one of equal or greater value if the advertised prizes become unavailable. Each prize will be awarded “as is” with standard manufacturer warranties and guarantees.  Apple is not a sponsor of, or in any way associated with, the Contest.  

General Conditions: By entering the Contest, each Entrant agrees for him/her/itself and all heirs, executors, administrators (a) to release and hold harmless the Released Parties and Instagram from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not from participation in the Contest and/or acceptance, possession, use or misuse of any prize or any portion thereto; (b) to indemnify Released Parties from any and all liability resulting or arising from the  Contest;  (c) if selected as a Winner, to the posting of such Entrant’s name online and the use by Released Parties of such Winner’s name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use, except where prohibited by law; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Contest judges, which are binding and final. Failure to comply with these conditions may result in disqualification from the Contest at Sponsor’s sole discretion. Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.

Additional Terms:  Sponsor reserves the right to permanently disqualify from any promotion any person it believes has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of the Sponsor (excepting compliance with applicable codes and regulation) or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants’ or any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind, for inaccurate transcription of entry information, for errors in any promotional or marketing materials in these Official Rules, for any human or electronic error, or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged or returned.  Sponsor reserves the right to modify, extend, suspend, or terminate the Contest, in whole or in part, if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other unintended circumstances have impaired the integrity, administration, security, proper administration of the Contest as contemplated herein.  If the Contest is terminated before the designated end date, Sponsor will (if possible) select the winner from among the Entries received unaffected by the problem.   Sponsor may prohibit any participant or potential participant from participating in the Contest, if such person or entity shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor agent or representatives; or behaves in any other disruptive manner (as determined by the Sponsor in sole discretion). Sponsor reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Contest.

DISPUTES: THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW JERSEY, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW JERSEY. TO THE EXTENT ALLOWED BY APPPLICABLE LAW, THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL THE PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

WINNER NAMES: The winners names and social handles will be published on www.DXV.com and www.instagram.com/dxvluxury on or about 12/1/2014.   

Data: All information you submit to Sponsor is subject to Sponsor’s privacy policy posted at http://www.americanstandard-us.com/legal.aspx.   Content posted via Instagram is also subject to Instagram’s terms of use and privacy policy.   

FOR CANADA:   Any potential winner in Canada must correctly answer a time-limited, skill-testing question to be administered by telephone at a time determined by Sponsor.  All information submitted directly to Sponsor by or about anyone in Canada will be used solely for the purpose of administering this Contest unless the relevant person(s) otherwise agree or as required by law.
